TARIFFS, COMMISSIONS AND LIMITS POLICY

Last updated: 01.07.2026

1. General Provisions

1.1. This Tariffs, Commissions and Limits Policy sets out the basic rules for publishing, applying and changing the tariffs, commissions, exchange rate terms, possible costs and Transaction limits applicable to services provided through the OurExchangeClub platform.

1.2. This Policy applies to all Users who create a Transaction request to purchase or sell Crypto-assets through the ourexchange.club website, use the payment or payment receipt methods available on the Website, make or receive a payment or otherwise use OurExchangeClub’s services.

1.3. This Policy forms an integral part of OurExchangeClub’s Terms of Use, Payments and Cash Operations Policy, Crypto-asset Risk Disclosure Statement, KYC/AML/CFT and Sanctions Compliance Policy, Privacy Policy and other documents published on the Website.

1.4. The tariffs, commissions, limits, exchange rate terms and applicable costs displayed on the Website, on the Transaction creation page, in the user account or through the Company’s official communication channels may vary depending on the Transaction type, amount, type of Crypto-asset, blockchain network, payment or receipt method, market conditions, risk level and technical capabilities.

1.5. The financial terms applicable to a particular Transaction are binding on the User to the extent and at the time they have been displayed on the Website or confirmed by the Company in connection with that Transaction.

1.6. The Company may publish tariffs, commissions and limits on the Website in a separate table, on the Transaction creation page, in the user account, in a calculation display, in a notification or in another official format.

1.7. This Policy does not establish permanent numerical amounts for tariffs, commissions or limits. Their specific amounts may be set and changed on the Website, on the Transaction page or through the Company’s official communication channels without the need to revise this Policy in full.

1.8. Before creating a Transaction request, making a payment, transferring a Crypto-asset or confirming a Transaction, the User must familiarise themselves with the tariffs, commissions, limits and other applicable financial terms displayed on the Website or during the Transaction process at that time.

1.9. Creating a Transaction request, confirming a Transaction, making a payment, transferring a Crypto-asset or continuing to use the services constitutes the User’s acceptance of the tariffs, commissions, limits and other applicable financial terms displayed or confirmed at that time.

1.10. If the User does not agree to the tariffs, commissions, limits or other financial terms displayed on the Website or during the Transaction process, the User must not proceed with the Transaction or make the relevant payment or Crypto-asset transfer.

2. Types of Tariffs and Commissions

2.1. Various types of tariffs, commissions or costs may apply to OurExchangeClub’s services, depending on the structure of the Transaction, the payment method, the type of Crypto-asset, the blockchain network and the terms published on the Website at that time.

2.2. A service fee may apply to a Transaction and may be reflected as a separate amount, a percentage, a component of the exchange rate or another form of calculation displayed on the Website.

2.3. An exchange commission or Transaction commission may apply to a purchase or sale Transaction in connection with the organisation, processing, recordkeeping and operational servicing of that Transaction.

2.4. Depending on the payment or payment receipt method, fees or costs relating to payment services, banking, cards, EasyWallet, EasyPay, cash servicing or a partner organisation may apply.

2.5. Transfers of Crypto-assets may give rise to blockchain network fees, transaction fees, miner fees, validator fees or other technical fees specific to the relevant network.

2.6. In certain cases, actual costs may arise in connection with a return, correction of an incorrect payment, return of an overpayment, review of an unidentified payment or investigation of an incorrect Crypto-asset or transfer.

2.7. If a Transaction requires the review of additional documents, enhanced checks, an additional service from a third party, technical support or a special procedure, corresponding additional costs may arise if they have been displayed or agreed in advance, or arise from the terms published on the Website.

2.8. Tariffs or commissions applied by the Company may be included in the overall Transaction calculation or displayed separately, depending on the Website’s technical format and the terms of the Transaction.

2.9. If a fee or cost is charged by a third party, it may be shown separately, included in the Transaction calculation, deducted from the money or Crypto-assets receivable by the User or payable by the User as an additional charge, depending on the circumstances.

2.10. The User acknowledges that the names of tariffs and commissions, calculation methods or methods of display may vary according to the Transaction type and technical environment. However, the terms presented on the Website or through official communications during the Transaction are binding on the User.

3. Exchange Rate Determination and Service Fee

3.1. The exchange rate applicable to Crypto-asset purchase and sale Transactions carried out through OurExchangeClub is set by the Company on the basis of an assessment of the market, operational, technical and risk factors prevailing at the time of the Transaction.

3.2. The exchange rate displayed on the Website may be determined by taking into account the Crypto-asset’s market value, liquidity, Transaction volume, available sources, market fluctuations, the state of the blockchain network, the characteristics of the payment or receipt method and the operational risks associated with executing the Transaction.

3.3. OurExchangeClub’s exchange rate does not necessarily match the figures published by the Central Bank, international exchanges, other exchange platforms, data providers or public market sources.

3.4. Different exchange rates may apply to purchase and sale Transactions because the bases for their calculation, liquidity conditions, operational costs, payment flows and risk components may differ.

3.5. The Company’s service fee may be included in the Transaction exchange rate, displayed as a separate fee or reflected in the overall calculation presented on the Website, depending on the technical and commercial structure of the Transaction.

3.6. If the service fee is included in the exchange rate, the main financial outcome of the Transaction for the User is reflected in the calculation displayed on the Website, including the exchange rate terms applicable at that time.

3.7. If the service fee is displayed separately, it may be calculated on the basis of a fixed amount, a percentage, Transaction volume, the payment method, the type of Crypto-asset or other criteria presented on the Website.

3.8. The Transaction exchange rate may have a limited validity period. If the User does not take the necessary actions within the specified period, the Company may apply a new exchange rate, offer a new calculation or decline to proceed with the Transaction on the terms previously displayed.

3.9. In the event of sharp market fluctuations, a change in liquidity, a technical failure, a calculation error or a risk situation, the Company may revise the exchange rate terms of the Transaction before its final confirmation or execution.

3.10. Before confirming a Transaction, the User must check the exchange rate displayed on the Website, the amount to be received or paid, the service fee, applicable commissions and the overall Transaction calculation.

4. Third-Party, Banking, Payment and Blockchain Costs

4.1. During the execution of a Transaction, costs set or charged by third parties may arise. These costs are not set by the Company and may depend on the third party’s terms, tariffs, technical processes or applicable rules.

4.2. Such costs may arise, in particular, from banks, card systems, payment service providers, EasyWallet, EasyPay, a cash servicing partner organisation, blockchain networks, Crypto Wallet services or other infrastructure involved.

4.3. Third-party costs may apply during the acceptance of a payment, transfer of funds, processing of a card transaction, cash servicing, a blockchain transfer, a return, a payment adjustment, review of a Transaction or other ancillary actions.

4.4. The Company does not guarantee that third-party tariffs, commissions, network fees or other costs will remain unchanged, as they may change independently of the Company under the rules of the relevant service provider, bank, payment system, blockchain network or other third party.

4.5. If a third-party cost is known or can be calculated at the time of the Transaction, it may be reflected on the Website, in the Transaction calculation or in a notification provided to the User.

4.6. If a third-party cost cannot be calculated precisely in advance, it may be calculated or clarified when it is actually incurred or becomes known to the Company.

4.7. Third-party costs may be included in the overall Transaction calculation, charged separately, deducted from the money or Crypto-assets receivable by the User or deducted from the amount being returned, depending on the terms of the Transaction and the arrangements displayed on the Website.

4.8. Blockchain network fees may change within a short period depending on the network’s load, technical condition, transfer priority or other network circumstances. Such changes may affect the final Transaction calculation or the cost of the transfer.

4.9. If a third-party cost that has been charged or incurred is attributable to the User’s action, error, delay, incorrect data, cancellation of a Transaction, a return or the need for an additional review, that cost may be allocated to the User to the extent permitted by law.

4.10. The Company is not liable for tariffs, commissions, network fees, deductions, conversion costs, restrictions or other payment terms set or changed by third parties if they arose beyond the Company’s direct control.

4.11. Before executing a Transaction, the User must take into account that additional or variable third-party costs may arise in addition to the basic calculation displayed on the Website if they apply to the Transaction or the payment/blockchain infrastructure concerned.

5. Minimum and Maximum Transaction Limits

5.1. The Company has the right to set minimum and maximum limits for Crypto-asset purchase and sale Transactions according to the Transaction type, Crypto-asset, blockchain network, payment or receipt method, the User’s status and the terms in effect on the Website at that time.

5.2. Limits may be set per Transaction, per day, per month or for another calculation period specified by the Company.

5.3. Limits may differ for individuals, legal entities, newly registered Users, verified Users, Users who have undergone enhanced review or different risk groups.

5.4. When determining Transaction limits, the Company may take into account the User’s level of Identification, Transaction history, risk profile, source of payment, the type of Crypto-asset, market liquidity, technical capabilities and compliance requirements.

5.5. A Transaction request below the minimum limit or above the maximum limit displayed on the Website may not be accepted, may not be approved or may be considered separately, at the Company’s discretion.

5.6. If the User attempts to split one large Transaction into several smaller Transactions to circumvent limits, checks or risk assessment, the Company may treat those Transactions as related Transactions.

5.7. When assessing related Transactions, the Company may take into account their proximity in time, the combined amounts, the common source of payment or receipt, Crypto Wallet Addresses, the User’s behaviour and the overall economic purpose of the Transactions.

5.8. Application of a limit does not mean that every Transaction within that limit must be confirmed or executed. A Transaction may not be confirmed on other legal, compliance, technical, market or risk grounds.

5.9. The Company may apply a lower or higher limit to an individual Transaction if justified by the User’s status, the nature of the Transaction, the results of additional checks, market conditions or the Company’s internal risk assessment.

5.10. A change to a limit, an individual restriction or the fact that a particular Transaction is not confirmed does not constitute unequal treatment of the User if based on objective, risk-related, technical, legal or compliance circumstances relating to the Transaction or the User.

5.11. Before creating a Transaction request, the User must check the minimum and maximum limits presented on the Website or on the Transaction page at that time.

5.12. If an additional check concerning the application of limits or the Transaction volume becomes necessary during the Transaction process, the Company may make confirmation or execution of the Transaction conditional on completion of that check.

6. Publication, Amendment and Timing of Application of Tariffs and Limits

6.1. The Company may publish tariffs, commissions, limits and the basic conditions for their application on the Website, on the Transaction creation page, in the user account, in the Transaction calculation window, by notification or through another official communication format.

6.2. The tariffs, commissions, exchange rate terms and limits applicable to a Transaction are those displayed or confirmed at the relevant stage of its creation, verification, confirmation or execution.

6.3. If a final or updated calculation is presented to the User during a Transaction, proceeding with, confirming or paying for the Transaction or transferring a Crypto-asset on the basis of that calculation constitutes acceptance of the updated financial terms.

6.4. The Company may change tariffs, commissions, limits or the conditions for their application without publishing a new version of this Policy if the change is reflected on the Website, on the Transaction page or through official communications.

6.5. Amended tariffs, commissions or limits apply from the moment of their publication, display or confirmation in connection with the Transaction, unless the Company has specified a different time.

6.6. New tariffs or limits do not apply to Transactions completed before the change takes effect, unless a different result follows from the law, a requirement of a competent authority, the nature of the Transaction or a specific agreement between the parties.

6.7. Updated financial terms may apply to ongoing, unfinished Transactions or Transactions undergoing additional checks if the original terms can no longer be applied due to market, technical, payment, blockchain, compliance or risk circumstances.

6.8. If there is an obvious technical, numerical, calculation or display error on the Website, on the Transaction page or in the calculation display, the Company may correct that error and apply the corrected terms before final execution of the Transaction.

6.9. The User may not rely on a tariff, commission, limit or calculation that is obviously incorrect, outdated, affected by a technical malfunction or not confirmed for the Transaction concerned.

6.10. If the User does not agree to the amended or corrected financial terms, the User may choose not to proceed with the Transaction. If the Transaction has already begun, it may be cancelled or moved to the return stage in accordance with the Terms of Use and applicable policies.

6.11. The Company may retain technical or Transaction records concerning tariffs, limits, calculations, displays, changes and the User’s confirmation of them for evidentiary, accounting, compliance and dispute resolution purposes.

7.3. If any provision of this Policy is held to be invalid, unlawful or inapplicable, this does not affect the validity and applicability of the remaining provisions.

7.4. The Armenian version of this Policy is the primary and prevailing version. In the event of any conflict, difference or inconsistency in interpretation between translations into other languages and the Armenian version, the Armenian version shall prevail.

7.5. This Policy applies throughout the User’s use of OurExchangeClub’s services and also to the extent that particular provisions, by their nature, must apply after a Transaction has been completed, cancelled, rejected or returned or after the relationship has ended.

7.6. The User confirms that familiarising themselves with and complying with the financial terms governed by this Policy is their obligation in each Transaction.
